Country Bank Holding Company, Inc., parent company of Country Bank, has announced the signing of a definitive merger agreement with OceanFirst Financial Corp., parent company of OceanFirst Bank N.A.

Under the other agreement, Country Bank Holding Company, parent company of Country Bank, headquartered in New York, New York, will merge into OceanFirst.

In addition, the Company recorded $4.8 million in non-recurring costs associated with the acquisition of the Utah Banner Bank branches and the merger of Town & Country Bank in 2017.

Based on the closing price of USD 25.55 for PUB shares on May 30, 2017, the transaction would result in an aggregate value of USD 20.9m or USD 11.89 per fully diluted Town and Country Bank common share.
